Terms of Service

1. Who We Are

EZ Numbers is run by Machine Elves, LLC, a California limited liability company ("EZ Numbers," "we," "us"). These terms cover eznumbers.com, api.eznumbers.com, plan pages we host, and our emails (together, the "Service").

By creating an account, buying anything, or using the Service, you agree to these terms and to our Privacy Policy. If you use the Service for a company, you confirm you can bind that company, and "you" includes it.

2. Who May Use EZ Numbers

You must be at least 18 years old and able to form a binding contract. The Service is a business planning tool made for adults who are starting, running or buying a business.

The Service is not directed to children. We do not knowingly collect personal information from anyone under 13, and we do not allow anyone under 18 to create an account. If we learn that someone under 13 has given us personal information, we delete it promptly. If you believe a child has given us information, write to privacy@eznumbers.com and we will remove it.

You may not use the Service if you are barred from receiving it under United States law, including export and sanctions rules.

3. What EZ Numbers Does, and What It Is Not

EZ Numbers turns what you tell us about a business into financial projections: an Excel workbook, a published plan page, charts, and related tools. It also offers What Do You Want? (which kinds of business typical figures support) and Evaluate a Business for Sale (a read of a listing you provide).

Everything the Service produces is an estimate built from your inputs, published averages and typical figures. Real results will differ, sometimes by a lot.

EZ Numbers is not financial, investment, tax, accounting or legal advice, and we are not your advisor, broker or lender. Typical figures describe averages of other businesses, not yours. Before you invest, borrow, buy a business, sign a lease or raise money, check the numbers with a qualified professional and with your own records. A listing's figures are the seller's claims; verify them before you buy.

4. Your Account

You sign in with your email address. Keep access to that inbox secure; anyone who can read it can sign in as you. Give us accurate information, and tell us at support@eznumbers.com if you think someone else has used your account.

You are responsible for what happens under your account. We may suspend an account that we reasonably believe is compromised or is breaking these terms, and we will tell you why unless the law or safety prevents it.

5. Prices, Payment and Refunds

What Do You Want? and Evaluate a Business for Sale are free. Building and publishing your own plan is paid:

"Updates" means updating your plan, entering actual results, and the other tools that keep a plan current. When it lapses, your published plan stays up and readable; you just cannot change it until you renew.

Payments are handled by Stripe. We never see or store your full card number. Prices do not include sales tax, which we add where the law requires. Updates for a Year renews each year at the then-current price unless you turn off renewal before the renewal date; we email you before it renews. You can turn off renewal at any time in your account.

Refunds: if you ask within 14 days of a purchase, we refund it in full. After 14 days, purchases are not refundable except where the law requires. We may change prices for future purchases; a change never affects a period you have already paid for.

6. Your Content and Your Plans

What you give us (your answers, numbers, files, actuals and any listing you paste) stays yours, and so do the plans built from it. You give us permission to store, process, copy and display that content only to run the Service for you: to build and publish your plan, show it to you and to people you share it with, keep backups, and fix problems.

A published plan page is private until you share it. A share link lets anyone who has it see the plan as it stands now. You can turn a share link off or set it to expire in your account. We do not sell your content or your plans, and we do not show them to other customers.

You confirm you have the right to give us what you upload, including any listing or document from someone else. We may use anonymous, combined statistics (for example, how many plans were built) that cannot identify you or your business.

Follow-Up Questions (Optional). When you build a plan, we may ask whether you would like to help us learn how plans like yours turn out. This is a separate choice, never a condition of using the Service, and the box starts unticked. If you say yes, we ask a few short questions when you sign up and again about 6, 12 and 24 months later (for example, whether the business opened, whether it raised money, and whether it is still operating). We may also compare your plan with public records about your company, such as federal Form D filings and state business registries.

We use these answers and matches only to measure and improve how well EZ Numbers reads plans, and only in combined form that never identifies you or your business to anyone outside EZ Numbers. Saying no changes nothing about your plan or the Service. You can stop at any time in your account or by writing to privacy@eznumbers.com; we then stop asking and matching, and delete your follow-up answers and matches within 30 days.

7. AI Features

Some parts of the Service use AI models from outside providers: the interview that gathers your answers, written explanations on your plan, the skeptical investor notes, the Pressure Test memo, and matching words to a kind of business. The numbers in your plan come from your inputs and our calculations, not from an AI model's guesses.

AI-written text can be wrong or incomplete. Read it critically and check anything you rely on. We send these providers only what each feature needs, under terms that do not allow them to train their models on your content.

8. Partner Links

Your launch checklist and other pages may link to outside companies (banks, payroll, formation, lenders and others). Links marked "Partner" may pay us a fee if you sign up. That never changes the figures in your plan, and partners are ranked by how well they fit your plan, never by what they pay us.

Those companies are not part of EZ Numbers. Their own terms and privacy policies apply, and we are not responsible for their products, offers or decisions. Offers shown may change or end; the partner's site has the current terms. We share your details with a partner only when you ask us to, for example by pressing Introduce Me.

9. Acceptable Use

Do not use the Service to:

• mislead investors, lenders or buyers with figures you know are false;
• upload anything you have no right to share, or anything unlawful;
• break into, overload, scrape or probe the Service, or get around its limits or security;
• copy, resell or rebuild the Service or its templates as a competing product;
• impersonate anyone, or use someone else's account without permission.

We may remove content or suspend accounts that break these rules.

10. Disclaimers, Limits and Indemnity

The Service is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties, including fitness for a particular purpose and that projections will be accurate or the Service uninterrupted.

To the extent the law allows, we are not liable for lost profits, lost revenue, lost data, or any indirect, incidental, special or consequential damages, including losses from decisions based on a projection. Our total liability for all claims together is limited to the amount you have paid us, or $100, whichever is more.

You agree to cover our reasonable costs if a third party brings a claim against us because of content you uploaded or your breach of these terms. Some places do not allow some of these limits, so they may not all apply to you.

11. Ending Your Account; Changes

You can close your account at any time by writing to support@eznumbers.com. When you do, we delete your account data within 30 days, except what the law requires us to keep (such as payment records). Published plan pages and their share links stop working when the account is deleted.

We may end or suspend access for a serious or repeated breach of these terms. We may change or retire features; if we stop offering the Service entirely, we will give at least 60 days' notice and a way to download your plans, and refund the unused part of any prepaid Updates for a Year.

We may update these terms. For a material change we will email you at least 14 days before it takes effect. Continuing to use the Service after that means you accept the new terms.

12. Governing Law, Disputes and Contact

These terms are governed by the laws of the State of California and the United States, without regard to conflict-of-law rules. Any dispute about these terms or the Service will be settled by binding individual arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules, in Los Angeles County, California, or by video. You and we each give up the right to a jury trial and to bring or join a class action. Either of us may still bring a qualifying claim in small claims court. We pay the arbitration fees the Consumer Rules assign to businesses. You may opt out of arbitration by emailing support@eznumbers.com within 30 days of first agreeing to these terms; if you do, the courts in Los Angeles County, California decide any dispute.

If part of these terms is found unenforceable, the rest still applies. These terms and the Privacy Policy are the whole agreement between us about the Service.
